2. Important Compliance Disclaimer
TransComp is a software and organisational tool.
The Service does not replace the professional responsibilities of a Transport Manager, operator, driver, maintenance provider or any other person responsible for transport compliance.
Use of the Service does not guarantee compliance with:
- UK transport legislation
- Driver licensing requirements
- Drivers' hours requirements
- Tachograph requirements
- Vehicle roadworthiness requirements
- Operator licensing requirements
- DVSA requirements
- Traffic Commissioner requirements
- Any other applicable law or regulatory requirement
You remain responsible for ensuring that your transport operation complies with all applicable laws, regulations, guidance and licence conditions.
Information, reminders, calculations or alerts provided by the Service should be treated as assistance and should be independently reviewed where appropriate.
3. Account Registration
To use certain features, you may need to create an account.
You agree to:
- Provide accurate and up-to-date information.
- Keep your login details confidential.
- Not share your account with unauthorised persons.
- Notify us if you believe your account has been accessed without permission.
- Ensure that users you authorise use the Service appropriately.

5. Subscription

Unless otherwise stated:
- Subscriptions are charged in advance.
- The subscription continues until cancelled or terminated.
- Subscription prices may change from time to time.

6. Payment

Unless otherwise stated at the time of purchase, cancellation will normally prevent the next subscription payment from being taken, while access may continue until the end of the current paid subscription period.
Cancellation does not automatically entitle you to a refund for unused time unless required by applicable law or expressly agreed by TransComp.
8. Refunds
Refunds will be handled in accordance with the subscription terms presented at the time of purchase and applicable UK law.
Where a refund is approved, we may refund the relevant payment using the original payment method where reasonably possible.
If you believe you have been incorrectly charged, you should contact us promptly with details of the relevant payment.
9. Free Trials and Promotional Offers
Where TransComp offers a free trial, promotional period or discounted subscription:
- The duration and conditions of the offer will be stated at the time it is provided.
- We may limit one promotional offer per customer or account.
- We reserve the right to withdraw or modify promotional offers where reasonably necessary.
- Unless clearly stated otherwise, promotional offers do not have a cash value.
If a free trial automatically converts into a paid subscription, this will be clearly explained before the conversion.
10. Your Data and Content
You may upload or enter information into the Service, including:
- Driver information
- Vehicle information
- Documents
- Maintenance records
- Inspection records
- Defect records
- Compliance records
- Tachograph-related information
- Notes
- Reports
- Other business information
You retain ownership of your data and content.
You grant TransComp the limited rights necessary to host, process, store, transmit and display your data for the purpose of providing the Service.
You are responsible for ensuring that you have the appropriate authority and legal basis to upload and process personal information through the Service.

Where we process personal data on your behalf, our processing will be governed by our Privacy Policy and, where applicable, a separate Data Processing Agreement.
You should only upload personal information where you are authorised to do so and where you have complied with applicable data protection requirements.
You are responsible for ensuring that information entered into the Service is accurate and appropriate.

We will take reasonable technical and organisational measures designed to protect information stored within the Service.
However, no internet-based service can be guaranteed to be completely secure.
You are responsible for maintaining appropriate security of your own devices, passwords and user accounts.

However, you should not rely exclusively on TransComp as your only copy of important business, regulatory or compliance records.
Where legally or operationally important, you should maintain appropriate additional records or copies.
14. Compliance Records
The Service may allow you to create, store and monitor compliance records.
You remain responsible for:
- Entering accurate information.
- Keeping information up to date.
- Reviewing alerts and reminders.
- Completing required actions.
- Investigating infringements.
- Addressing vehicle defects.
- Maintaining appropriate records.
- Meeting statutory and regulatory deadlines.
Failure to act on a reminder, notification or task does not transfer responsibility for compliance to TransComp.
15. Automated Calculations and Alerts
Some features may use automated calculations, rules or algorithms to identify potential compliance issues.
These may include:
- Drivers' hours calculations
- Rest calculations
- Infringement identification
- Task due dates
- Document expiry reminders
- Tachograph download reminders

Automated results may depend on the accuracy, completeness and format of the information supplied to the Service.
You should review important results and take appropriate professional or operational action.
TransComp does not guarantee that every potential compliance issue will be identified.
16. Third-Party Services
The Service may use or integrate with third-party services, software, APIs, payment providers, hosting providers or other technology providers.

TransComp is not responsible for the availability, accuracy, security or performance of third-party services that are outside our reasonable control.

You do not acquire ownership of the software or its underlying intellectual property.
21. Feedback and Suggestions
If you provide suggestions, ideas, feedback or recommendations about the Service, you agree that TransComp may use them to improve the Service without creating an obligation to pay compensation, provided that doing so does not disclose your confidential information.
22. Confidentiality
Each party agrees to keep confidential information received from the other party confidential and to use it only for legitimate purposes connected with the Service or business relationship.
This obligation does not apply to information that:
- Is publicly available.
- Was already lawfully known.
- Becomes publicly available without breach of these Terms.
- Must be disclosed by law or a competent authority.
23. Suspension and Termination
We may suspend or terminate access to the Service where:
- You materially breach these Terms.
- Payment remains outstanding.
- The Service is being misused.
- We reasonably believe the account presents a security risk.
- We are required to do so by law.
- Continued provision of the Service becomes commercially or technically impractical.
Where appropriate, we will provide reasonable notice and an opportunity to remedy a breach before termination.
24. Effect of Termination
When a subscription ends, your access to paid features may cease.
Subject to applicable law and our data retention requirements, we may retain or delete account information after termination.
You should download or otherwise retain copies of important records before cancelling your account.
Where we provide a specific data export facility, this may be subject to the applicable plan and technical limitations.
25. Limitation of Liability
To the fullest extent permitted by law, TransComp will not be responsible for losses arising from:
- Incorrect information entered by users.
- Failure to act on a reminder or alert.
- Failure to review an automated calculation.
- Failure to maintain independent compliance records.
- Incorrect or incomplete vehicle or driver information.
- Failure to comply with applicable law or regulatory requirements.
- Decisions made by a Transport Manager, operator, driver or other user based solely on information provided by the Service.
- Third-party systems or services outside our reasonable control.
- Internet, telecommunications or equipment failures.
Nothing in these Terms excludes or limits liability where doing so would be unlawful.
Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot legally be excluded or limited.
Subject to the above, our total liability arising from your use of the Service will be limited to the amount you paid to TransComp for the Service during the 12 months immediately preceding the event giving rise to the claim, unless a different limitation is required by applicable law.
26. Business Customers
The Service is primarily intended for business users including Transport Managers and transport operators.
Where you use the Service in the course of a business, you confirm that you have authority to accept these Terms on behalf of that business.
27. Consumer Rights
If you are a consumer and applicable UK consumer protection legislation gives you rights that cannot be excluded by these Terms, those rights will continue to apply.
Nothing in these Terms is intended to remove or restrict any statutory consumer rights that cannot lawfully be excluded.
28. Changes to These Terms
We may update these Terms from time to time.
When we make material changes, we may notify users through the website, Service or email where appropriate.
The updated Terms will be published with a new "Last updated" date.
Your continued use of the Service after the effective date of updated Terms constitutes acceptance of the updated Terms, subject to any rights you may have under applicable law.
29. Governing Law
These Terms are governed by the laws of England and Wales.
Subject to any mandatory legal rights, the courts of England and Wales will have jurisdiction over disputes arising from these Terms.

31. Severability
If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision will be modified or removed to the minimum extent necessary, and the remaining provisions will continue to apply.

These Terms, together with any applicable Privacy Policy, subscription terms, Data Processing Agreement and other documents expressly incorporated into these Terms, constitute the agreement between you and TransComp regarding your use of the Service.
